Orix Automation is an AI Automation company focused on building practical, production-ready automation systems, AI agents, business process automation, workflow systems, integrations, AI-powered solutions, consulting, hosting, and maintenance services.
These Terms & Conditions govern the use of our website and the purchase or use of our services.
By accessing our website, requesting a consultation, engaging our services, or starting a project with us, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
By using the Orix Automation website or engaging our services, you agree to comply with these Terms & Conditions.
If you do not agree with these terms, please discontinue using our website and services.
Orix Automation reserves the right to update or modify these Terms when reasonably necessary. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms.
Clients must provide accurate and complete information required for project planning, development, integrations, testing, and deployment.
Clients are responsible for providing necessary access, credentials, documentation, business information, API access, third-party accounts, assets, and other materials required to complete the agreed project.
Clients are responsible for ensuring that information supplied to Orix Automation is lawful and that they have the necessary rights to provide such information.
Clients must not request or use our services for illegal, fraudulent, abusive, harmful, or unauthorized activities.
Orix Automation provides professional AI Automation and technology services, which may include but are not limited to:
Services are customized according to the client's requirements and project scope.
Orix Automation may provide consultation before or during a project.
Consultation may include:
Where applicable, clients may receive an exclusive consultation before beginning a project.
Consultation does not guarantee that a specific solution will be technically or commercially suitable until the project requirements have been properly evaluated.
Each project is developed according to the agreed requirements and scope.
Project scope may include:
Additional requirements outside the agreed scope may require additional work, time, or fees.
Project timelines may depend on complexity, client responsiveness, third-party services, API availability, integrations, testing requirements, and other dependencies.
Orix Automation does not provide a blanket refund guarantee for services.
Once work has started and Orix Automation has incurred development time, technical costs, research costs, infrastructure costs, third-party costs, or other project-related expenses, payments associated with completed or incurred work may be considered non-refundable.
If a client requests project cancellation, Orix Automation may review the circumstances on a case-by-case basis.
If cancellation occurs because of genuine difficulties or circumstances affecting the client's ability to continue, Orix Automation may consider an appropriate resolution at its discretion.
However, if substantial work has already been completed or costs have already been incurred, the corresponding value of the completed work and expenses may be taken into consideration when determining whether any refund or adjustment is appropriate.
If a payment obligation remains unpaid, Orix Automation reserves the right to suspend work, restrict access, or pursue appropriate legal or contractual remedies where applicable.
Orix Automation may offer optional ongoing maintenance and technical support after project completion.
Maintenance may include monitoring, troubleshooting, workflow maintenance, bug fixes, minor adjustments, optimization, technical assistance, system health checks, and reasonable ongoing improvements.
Maintenance pricing is generally discussed according to the project and required level of support. Typical maintenance arrangements may fall around $20–$25 per month, depending on the project, requirements, workload, and infrastructure.
Maintenance terms and pricing may be agreed separately with the client. Maintenance does not automatically include major new features or completely new workflows unless specifically agreed.
Clients may optionally use Orix Automation's hosting/infrastructure services where available. For example, clients may request that their n8n workflows or related automation infrastructure be hosted and managed through Orix Automation.
Hosting may involve an additional recurring fee depending on resource usage, workflow complexity, server requirements, traffic, storage, third-party infrastructure, and maintenance requirements.
Hosting availability depends on technical compatibility and infrastructure capacity.
Orix Automation treats client information and project data responsibly.
Client information should only be accessed when reasonably necessary to perform the agreed services, maintenance, troubleshooting, hosting, deployment, or support.
Client data should not be intentionally disclosed to unauthorized third parties except where necessary to provide the requested service, comply with legal obligations, or use required third-party infrastructure/providers.
Where a project is completed, project-related data may generally be retained for up to 30 days for operational, backup, troubleshooting, or handover purposes unless a different arrangement has been agreed. After this period, project data may be deleted, archived, or otherwise handled according to the applicable project arrangement.
Retention may vary depending on project requirements and technical circumstances.
Upon completion of an applicable client project, the client will receive the agreed project deliverables.
Where the project includes custom source code or workflow files, ownership and access to those deliverables will be transferred to the client according to the agreed project terms. This may include source code, n8n workflows, automation logic, configuration files, and documentation.
However, Orix Automation retains ownership of its pre-existing proprietary systems, internal frameworks, reusable components, templates, libraries, methodologies, know-how, and tools unless explicitly transferred through a separate agreement.
Third-party software, APIs, platforms, licenses, and services remain subject to their respective owners' terms.
Orix Automation may wish to showcase completed projects, workflows, websites, automation systems, or results as portfolio examples or case studies.
Client permission is required before publicly displaying a client's project, private workflow, confidential information, screenshots, business data, or identifiable project details.
Orix Automation may showcase a project where the client has explicitly permitted such use. If a client requests that their project not be publicly displayed, Orix Automation will respect that request.
Unless otherwise agreed:
Client-specific final deliverables created specifically for the client may be transferred to the client according to the agreed project terms.
Orix Automation retains ownership of existing internal frameworks, reusable components, general development methodologies, internal tools, templates, pre-existing code, proprietary systems, and general technical knowledge.
Third-party assets remain the property of their respective owners.
Clients may not claim ownership of Orix Automation's pre-existing proprietary systems unless ownership has been explicitly transferred in writing.
Automation projects may depend on third-party services including OpenAI, Google, Anthropic, n8n, GoHighLevel, Zapier, Cloud platforms, CRM platforms, Messaging platforms, Payment providers, Hosting providers, APIs, and Databases.
Third-party services may change pricing, availability, functionality, API limits, policies, or technical requirements.
Orix Automation is not responsible for outages, policy changes, pricing changes, API failures, service interruptions, or other issues directly caused by third-party providers.
API usage costs are generally separate from Orix Automation's service fees unless explicitly stated otherwise in a project agreement.
AI systems and AI agents may occasionally produce inaccurate, incomplete, unexpected, or incorrect outputs.
AI automation should therefore be appropriately tested and monitored according to the nature of the business process.
Orix Automation aims to develop reliable and production-ready systems, but no AI system can guarantee perfect accuracy in every possible situation.
Clients remain responsible for reviewing critical business decisions and outputs where human oversight is reasonably necessary.
Orix Automation services must only be used for lawful, ethical, and legitimate purposes.
Users must not use our systems for fraud, malware, hacking, unauthorized access, data theft, spam, abuse, illegal surveillance, unauthorized automation, copyright infringement, or any activity violating applicable laws or third-party policies.
Orix Automation reserves the right to refuse or terminate projects involving unlawful or harmful activities.
Both parties should make reasonable efforts to protect confidential business, technical, financial, operational, and project information shared during a project.
Confidential information should not be intentionally disclosed to unauthorized parties except where disclosure is required to provide the agreed service, required by law, or otherwise authorized.
Project completion may depend on client feedback, approvals, API access, third-party services, credentials, hosting, documentation, external integrations, testing, and business decisions.
Delays caused by missing information, delayed approvals, third-party services, or circumstances outside Orix Automation's reasonable control may affect the project timeline.
Orix Automation will make reasonable efforts to deliver reliable, functional, and production-ready solutions according to the agreed project scope.
However, Orix Automation is not responsible for indirect, incidental, consequential, or business losses arising from third-party outages, API failures, platform changes, incorrect client-provided information, unauthorized modifications, misuse of delivered systems, external security incidents, business decisions made using automated outputs, or losses caused by services outside Orix Automation's control.
Clients should maintain appropriate backups and security practices for critical systems and data.
Orix Automation may update, improve, modify, suspend, or discontinue parts of its website or services when reasonably necessary.
We aim to maintain reliable service availability but cannot guarantee uninterrupted availability at all times.
Maintenance, infrastructure issues, third-party failures, security incidents, upgrades, or circumstances outside our reasonable control may temporarily affect service availability.
Either party may discuss termination of a project according to the applicable project agreement.
Orix Automation may suspend or terminate services where there is illegal activity, abuse, unauthorized access, repeated violation of agreed terms, non-payment, misuse of systems, or material breach of these Terms.
Termination does not automatically cancel obligations or costs already incurred.
These Terms & Conditions shall be governed by and interpreted according to the applicable laws of Bangladesh.
Any disputes should first be attempted to be resolved through good-faith communication between the parties. Where necessary, appropriate legal remedies may be pursued according to applicable law.
